1. Acceptance of Terms

3. Our Role — Advisory and Introduction Services Only; Not the Vendor

3.1 Aurix Property Co. operates solely as a property advisory and consultancy business. Our role is limited to identifying property opportunities, providing general property information, and introducing prospective purchasers to builders, developers, land estate providers, and other vendors ("Vendors").

3.2 Aurix Property Co. is not the vendor, seller, developer, or builder of any property presented, advertised, or referred to on this website or in our communications. Every sale of land, house and land package, townhouse, apartment, or other property is made by the relevant Vendor, and any contract of sale, building contract, or related agreement is entered into solely between the purchaser and that Vendor (and/or the Vendor's appointed agents and legal representatives).

3.3 Aurix Property Co. is not a party to, and has no authority to negotiate, vary, execute, or enforce, any contract of sale or building contract. All representations, warranties, specifications, inclusions, pricing, construction timelines, and contractual obligations relating to a property are made and owed by the relevant Vendor alone.

3.4 Nothing on this website or in our services constitutes an offer by Aurix Property Co. to sell property, and no communication from Aurix Property Co. creates any agency, partnership, joint venture, or fiduciary relationship between Aurix Property Co. and any Vendor or purchaser, except as expressly disclosed in writing.

4. No Fees Charged to Clients; No Handling of Client Funds

4.1 Aurix Property Co. does not charge purchasers or clients any fee, commission, or charge for its advisory and introduction services, unless separately agreed in writing.

4.2 Aurix Property Co. does not receive, hold, handle, or transmit any purchase monies, deposits, holding fees, or other funds on behalf of purchasers or Vendors. All deposits and payments in connection with a property purchase must be paid directly to the Vendor, the Vendor's legal representative, or another party authorised under the contract of sale, in accordance with that contract.

4.3 If any person purporting to act for Aurix Property Co. requests payment of purchase monies or a deposit to Aurix Property Co., do not make such payment and contact us immediately using the details in clause 20.

5. Remuneration and Commission Disclosure

5.1 Aurix Property Co. is remunerated by Vendors, not by clients. Where a purchaser introduced by Aurix Property Co. enters into a contract with a Vendor and the transaction proceeds to final settlement, the Vendor pays Aurix Property Co. a referral commission or introduction fee for having provided a qualified prospective purchaser.

5.2 The amount or basis of commission varies between Vendors and transactions. These arrangements are agreed between Aurix Property Co. and the relevant Vendor and do not, of themselves, increase the purchase price payable by the purchaser, which is set by the Vendor.

5.3 Because Aurix Property Co. is remunerated by Vendors, a potential conflict of interest exists. Aurix Property Co. manages this by presenting opportunities based on the client's stated objectives, budget, and preferences. Clients should nonetheless make their own independent assessment of any property and obtain independent legal, financial, and taxation advice before committing to any purchase.

5.4 Further details of Aurix Property Co.'s remuneration arrangements in respect of a specific transaction will be disclosed where required by law, or on reasonable request.

15.2 To the maximum extent permitted by law, Aurix Property Co. is not liable for any loss, damage, cost, delay, defect, or inconvenience arising out of or in connection with:

(a) the acts, omissions, representations, insolvency, or default of any Vendor, builder, developer, agent, broker, financier, or other third party;

(b) the negotiation, execution, performance, variation, rescission, or termination of any contract of sale or building contract;

(c) construction delays, building defects, variations, cost escalations, site conditions, permit or approval delays, or failure to complete;

(d) finance approval, valuation outcomes, settlement delays, or failure to settle;

(e) property market movements, rental performance, vacancy, or investment outcomes;

(f) reliance on information supplied by third parties and published or communicated by Aurix Property Co. in good faith;

(g) use of, or inability to use, this website, or errors or omissions in website content;

(h) website interruptions, technical issues, or unauthorised access to website systems.

15.3 To the maximum extent permitted by law, Aurix Property Co. excludes liability for indirect, incidental, special, consequential, or economic loss, including loss of profit, loss of opportunity, and loss of capital growth.

15.4 Nothing in these Terms excludes, restricts, or modifies any right, guarantee, or remedy conferred by the Australian Consumer Law or any other law that cannot lawfully be excluded. Where liability for breach of a non-excludable guarantee can be limited, Aurix Property Co.'s liability is limited, at its election, to the resupply of the relevant services or the payment of the cost of resupplying them.

You agree to indemnify Aurix Property Co., its directors, employees, and contractors against reasonably foreseeable loss, damage, cost, or expense suffered by Aurix Property Co. to the extent directly caused by:

This indemnity is reduced proportionately to the extent that Aurix Property Co.'s own negligence or breach contributed to the relevant loss.

These Terms are governed by and construed in accordance with the laws of Victoria, Australia. The parties submit to the non-exclusive jurisdiction of the courts of Victoria and the courts competent to hear appeals from them.

20. Severability

If any provision of these Terms is held to be invalid, unenforceable, or an unfair contract term, that provision is severed to the extent required, and the remaining provisions continue in full force and effect.

21. Entire Understanding

These Terms, together with our Privacy Policy, constitute the entire understanding between you and Aurix Property Co. regarding your use of this website and our advisory services, and supersede all prior representations concerning the same. Nothing in this clause limits any liability that cannot be excluded by law.

22. Changes to These Terms & Conditions

Aurix Property Co. may amend these Terms from time to time. Material changes will be published on this website with a revised "Last Updated" date and will take effect 14 days after publication, or immediately where the change is required by law. Your continued use of the website after the effective date of any amendment constitutes acceptance of the amended Terms.
